Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Analyzt AI platform and related services (the “Service”) provided by Analyzt AI, a Delaware S Corporation (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you:

• Are at least 18 years of age
• Have the authority to enter into these Terms on behalf of yourself or your organization
• Agree to comply with these Terms and all applicable laws and regulations

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. “You” refers to both the individual and the organization.

2. Description of Service

Analyzt AI provides an AI-powered strategic planning and analysis platform that includes:

• Strategic planning and initiative management workflows
• AI-powered analysis, business case generation, and risk assessment
• Predictive modeling and scenario analysis using machine learning
• Collaboration tools and executive dashboards
• An AI Assistant for context-aware strategic guidance

The Service is provided as a cloud-based Software-as-a-Service (SaaS) solution.

3. Accounts and Access

3.1 Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us at info@analyzt.ai if you become aware of any unauthorized use of your account.

3.3 Organization Accounts

Organization accounts may include up to 25 users. The account administrator is responsible for managing user access, permissions, and compliance with these Terms by all users within the organization.

4. Subscription and Payment

4.1 Plans and Pricing

The Service is offered on a subscription basis. Current pricing is published on our Pricing page. We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

4.2 Billing

Subscriptions are billed monthly unless otherwise agreed. Payment is due at the beginning of each billing cycle. All fees are quoted in US dollars.

4.3 Founding Member Pricing

Founding Member pricing is available to customers who register during our beta program and commit to a 1-year subscription. Registering as a Founding Member locks in a 33% lifetime discount off the standard rate, plus bonus AI tokens, for the duration of the committed term. Your rate is set when standard pricing is announced after beta completes; the beta enrollment window and any close-out date will be published on our Pricing page rather than fixed in these Terms.

4.4 AI Tokens

The Service includes a monthly allocation of AI tokens. Tokens are consumed when the platform performs AI-powered analysis, generates insights, or processes AI Assistant interactions. Different operations consume varying amounts of tokens. Unused monthly tokens do not roll over. Additional token packs may be purchased separately; purchased token packs do not expire.

4.5 Refunds

Monthly subscriptions may be cancelled at any time, effective at the end of the current billing cycle. No partial refunds are provided for unused portions of a billing period. Founding Member annual commitments are non-refundable except where required by applicable law.

5. Acceptable Use

You agree to use the Service only for lawful business purposes and in compliance with these Terms. You shall not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service, other accounts, or connected systems
• Interfere with or disrupt the Service's infrastructure or security features
• Reverse-engineer, decompile, or disassemble any part of the Service
• Scrape, data mine, or extract data from the Service through automated means
• Use the Service to develop a competing product or service
• Share account credentials with unauthorized parties
• Upload content that is unlawful, defamatory, or infringes on intellectual property rights
• Attempt to circumvent usage limits, token metering, or access controls

6. Your Content

6.1 Ownership

You retain all ownership rights to the content you upload, create, or input into the Service (“Your Content”). We do not claim ownership of Your Content.

6.2 License to Us

You grant us a limited, non-exclusive license to process, store, and display Your Content solely to provide the Service to you. This license terminates when you delete Your Content or close your account.

6.3 AI-Generated Outputs

Content generated by the Service's AI features (business cases, risk assessments, predictions, recommendations) based on Your Content is owned by you. We retain no rights to AI-generated outputs specific to your data.

6.4 Data Anonymization

We strongly encourage you to anonymize sensitive data before uploading it to the Service. The platform provides built-in anonymization tools, and we recommend using codenames, pseudonyms, and generic identifiers wherever possible. While we implement robust security measures, minimizing sensitive data exposure is a shared responsibility.

6.5 AI Model Training

We may use Your Content to improve our own predictive models, always in anonymized, aggregated form, unless your organization's administrator opts out in account settings. This setting governs training data use only. It does not affect access to any platform feature. You choose which AI model processes Your Content, including a private Analyzt AI tenant model that keeps queries in house.

7. Intellectual Property

7.1 Our Rights

The Service, including its design, software, algorithms, ML models, user interface, documentation, and branding, is owned by Analyzt AI and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without obligation to you.

8. Confidentiality

We treat Your Content as confidential information. We will not disclose Your Content to third parties except:

• To our sub-processors as necessary to provide the Service (see our Privacy Policy)
• With your explicit consent
• As required by law, regulation, or legal process

9. Service Availability and Support

9.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We may modify, update, or discontinue features of the Service at any time. For material changes that reduce functionality, we will provide reasonable advance notice.

AI-generated content, including predictions, recommendations, risk assessments, and business cases, is provided for informational purposes and to assist your decision-making. It should not be treated as professional advice (legal, financial, or otherwise). AI outputs may contain inaccuracies. You are responsible for reviewing and validating all outputs before making business decisions based on them.

10.3 No Guarantee of Results

We do not guarantee any specific business outcomes, performance improvements, or return on investment from using the Service. Results depend on many factors outside our control, including the quality of input data and how outputs are applied.

You agree to indemnify, defend, and hold harmless Analyzt AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

13. Termination

13.1 By You

You may cancel your subscription at any time through the Service or by contacting us. Cancellation takes effect at the end of your current billing cycle (or annual commitment period for Founding Members).

13.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Fail to pay fees when due
• Engage in activity that threatens the security or integrity of the Service

For non-critical violations, we will provide 14 days' notice and an opportunity to cure before termination. We may suspend access immediately for security threats or illegal activity.

13.3 Effect of Termination

Upon termination:

• Your right to access the Service ceases immediately
• You may request an export of Your Content within 30 days of termination
• Your Content will be permanently deleted within 30 days after the export period
• Sections 6 (Your Content, ownership), 7 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination

14. Data Processing

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge and agree to our data practices as described in the Privacy Policy.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.

15.3 Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of any class, consolidated, or representative action.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Analyzt AI regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.

16.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

16.5 Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, government actions, pandemics, or interruptions in internet or utility services.

17. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-platform notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
